Terms of Service

Welcome to Perfectum. These Terms of Service ("Terms") govern your access to and use of the Perfectum platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on our platform or sending you an email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Perfectum is a learning management platform that enables:

  • Course Creators: Create, publish, and sell online courses, manage students, and track progress.
  • Organizations: Deploy training programs, manage teams, and track learning outcomes.
  • Learners: Access courses, complete assignments, earn certificates, and track progress.

We continuously improve our Service and may add, modify, or remove features at our discretion.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. If you are under 18, you may only use the Service with the involvement of a parent or guardian who agrees to these Terms.

4. User Content

4.1 Your Content

You retain ownership of content you create and upload to the Service ("User Content"). By uploading User Content, you grant Perfectum a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your content solely for the purpose of operating and improving the Service.

4.2 Content Standards

You agree not to upload content that:

  • Infringes on intellectual property rights of others
  • Contains illegal, harmful, threatening, abusive, or defamatory material
  • Contains malware, viruses, or other harmful code
  • Violates any applicable laws or regulations
  • Promotes discrimination, hatred, or violence
  • Contains sexually explicit or pornographic material
  • Impersonates another person or entity

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice. We are not obligated to monitor User Content but may do so at our discretion.

5. Course Creators and Instructors

5.1 Instructor Responsibilities

If you create and publish courses on our platform, you agree to:

  • Provide accurate course descriptions and pricing
  • Deliver quality educational content as described
  • Respond to student questions and provide reasonable support
  • Comply with all applicable laws regarding content and marketing
  • Only include content you have the right to use

5.2 Revenue and Payments

Revenue sharing, payment terms, and payout schedules are governed by the Instructor Agreement you accept when becoming a course creator. Platform fees and payment processing fees apply as specified in that agreement.

6. Purchases and Payments

6.1 Pricing and Payment

Course prices are set by instructors and displayed in the applicable currency. All prices are subject to change. Payment is processed through secure third-party payment processors. You agree to provide accurate payment information and authorize charges to your payment method.

6.2 Refund Policy

Refund policies may vary by course and instructor. Generally:

  • Refund requests must be submitted within 30 days of purchase
  • Courses with more than 30% completion may not be eligible for refunds
  • Subscription refunds are prorated based on usage
  • Refunds are processed to the original payment method

6.3 Subscriptions

Subscription plans automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Perfectum and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

7.2 Course Content

Course content is owned by the respective instructors or their licensors. Your purchase grants you a limited, non-exclusive, non-transferable license to access and view the content for personal, non-commercial use. You may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit course content.

8. Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Circumvent or disable security features
  • Share account credentials with others
  • Engage in fraudulent activities or misrepresent your identity
  • Harass, abuse, or harm other users
  • Send spam or unsolicited communications
  • Reverse engineer or decompile any part of the Service

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will cease immediately.

9.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity
  • Request by law enforcement

9.3 Effect of Termination

Upon termination, you will lose access to your account and any content or data associated with it. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Course content will meet your expectations or requirements
  • Any errors in the Service will be corrected

Course content is provided by instructors, not Perfectum. We are not responsible for the accuracy, completeness, or quality of course content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECTUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your content

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Perfectum and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Dallas, Texas. You agree to waive any right to a jury trial or to participate in a class action.

13.3 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations or unauthorized access to the Service.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Perfectum regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Notices: We may send notices via email, posting on the Service, or other reasonable means.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
